Bangalore is a sea of opportunities and ideas, there’s a new start-up every week. But the first and foremost process is to incorporate and register your company.  But thanks to the Ministry of corporate affairs, you can now do so online from the comfort of your home!

There are 4 steps in the incorporation process:

  1. Acquiring Digital Signature Certificate(DSC)

    The Information Act 2000 deems it a necessity to have a valid digital signature to ensure the authenticity of documents filed electronically.
    Digital Signature Certificate can be obtained from agencies that are approved by the Controller of Certification Agencies (like TCS, IDBRT, MTNL, SAFESCRYPT, NIC, nCODE Solutions, etc.) and it is illegal to use DSC issued by any other agency. If you have an existing Digital Signature that hasn’t expired, you can continue to use that, but always make sure to renew it periodically.
  2. Acquiring Director Identification Number(DIN)

    As per the amendment act 2006, acquiring a DIN is compulsory for every director.
    1. Register yourself on MCA Website to obtain a login ID. Fill the DIN-1 Form, upload the eForm and pay applicable fees.
    2. Intimate the company about the generated DIN using the DIN-2 Form.
    3. The company is then expected to intimate the Registrar of Companies(ROC) with all the director’s DIN through DIN-3 Form.
    4. Any update and edit to the DIN can be made through the DIN-4 Form.
  3. New user registration on the Ministry of Corporate Affairs Portal

    It is essential to be registered on the MCA Portal to upload eForms, make payments, for annual filings, etc. and this is free of cost. Follow this link to register.
  4. Apply for the company to be registered
  • INCORPORATING COMPANY NAME:
    To obtain a name for your company, an application in Form-1A needs to be filed with the Registrar of Companies (ROC) of the state in which the Registered Office of the proposed company is to be situated to ascertain the availability of a name along with an official service fee of Rs.500/-.
    You have to provide four alternative names for the proposed company. Your company name shall not resemble the name of any other company already registered or violate the provisions according to Act, 1950.
    Forms to be filled:
    Form-1A: Application form for availability for new or change of a company name. Form-1: Application or declaration for incorporation of company, fill the same name chosen during application of form-1A.
  • REGISTERING THE OFFICE ADDRESS OR NOTICE OF SITUATION OF OFFICE:Forms to be filled:
    Form-18: This form is for notice of the situation of a new company office or change of situation of previously registered office. For a new company you have to fill the form with genuine office address and submit
  • NOTICE FOR APPOINTMENT OF COMPANY DIRECTORS, MANAGER AND SECRETARY:For a new company, this form is for notice for appointment of new Directors, Managers and Secretary and also regarding the take and pay for their qualification shares. For an existing company, this form is for a change of directors, Manger, Secretary or company head.
    Forms to be filled:
    Form-32

You will receive a confirmation email regarding the application for incorporation of a new company once the application has been approved by MCA, and the status of the form will change to approve.
